Synergi Solutions provides business automation, AI systems, voice receptionists, CRM integration, lead generation, and marketing services.

Our services may include:

Website and CRM setup and management

WhatsApp Business messaging and automation

Email marketing, newsletters, and lead nurturing

Meta (Facebook/Instagram) and Google ad campaigns

Custom-built AI assistants and workflow automations

Hosting, maintenance, and support

All services are delivered as outlined in your proposal, quote, or invoice.

We reserve the right to modify or withdraw services at any time with reasonable notice.

3.AI and voice technology use:


Our AI voice and automation systems are used strictly with client consent. We do not use AI to impersonate individuals or brands without explicit written authorisation. Any voice cloning or automated dialogue is deployed solely to improve service efficiency and is never used to mislead customers or partners.


4.Payment Terms

Setup and onboarding fees are due before work begins.

Ongoing retainers or subscriptions are invoiced monthly in advance.

All invoices are payable within 7 days unless stated otherwise.

Payments are made via bank transfer or authorised payment links.

Late or missed payments may lead to service suspension or termination.

We are not liable for delays or loss resulting from non-payment or late payment.


5.Marketing and Advertising

We provide marketing and ad management across email, Meta (Facebook/Instagram), Google, and other digital platforms.

You acknowledge and agree that:

Results and ad performance are influenced by many factors beyond our control.

Compliance with Meta, Google, and WhatsApp policies is essential and may result in changes to campaigns or restrictions.

We do not guarantee specific outcomes (e.g., lead volume, ranking, or ROI).

All campaigns must comply with the relevant Advertising Policies of Meta and Google.

Any media spend (ad budget) is billed separately by the advertising platform.

If an account is restricted or suspended due to external platform rules, Synergi Solutions is not responsible for resulting loss or downtime.

6.B2B outreach and lawful basis:


We may conduct legitimate business-to-business (B2B) outreach by email, WhatsApp, or phone in accordance with the UK GDPR and Privacy and Electronic Communications Regulations (PECR).


All such communication is relevant to the recipient’s professional role or business activity, clearly identifies Synergi Solutions, and provides a simple method to opt out at any time.


Recipients can opt out by replying “STOP” on WhatsApp, clicking “unsubscribe” in emails, or emailing [email protected].


7.Email Marketing and Automation

We operate compliant email campaigns and automation workflows under the Privacy and Electronic Communications Regulations (PECR) and UK GDPR.

Subscribers must provide explicit consent before receiving marketing emails.

All emails include an unsubscribe link or reply-to opt-out option.

8.WhatsApp and Messaging Compliance

When using or interacting with Synergi Solutions via WhatsApp Business or related automations:

Only opted-in users or legitimate B2B contacts are contacted.

Messages must comply with the WhatsApp Business Messaging Policy and Meta Commerce Policy.

You may opt out at any time by replying STOP or contacting us directly.

A clear human escalation path is always available — you may type “human”, call 01202 092 988, or email [email protected] at any time to reach a real person.

No spam, misleading content, or impersonation is permitted.

Sensitive information (e.g., card details or health data) must never be sent via WhatsApp.

Violation of WhatsApp or Meta rules may result in suspension or termination of messaging services.


9.Client Responsibilities

Clients must:

Provide accurate business information and permissions for ad or CRM access.

Obtain any required user or customer consent for data use in marketing or automation.

Comply with applicable advertising, privacy, and consumer laws.

Maintain their own platform accounts (e.g., Meta Business Manager, Google Ads, domain access).

We are not liable for errors caused by incorrect data, expired access, or client-side account issues.


10.Intellectual Property

All creative materials, designs, software, and written content produced by Synergi Solutions remain our property until full payment is received.

After payment, non-exclusive rights are granted for intended use only.

You may not resell, replicate, or distribute our intellectual property without written consent.


11.Third-Party Integrations

Our systems may integrate with third-party services such as:

Various Hosting and infrastructure providers.

Various Communication and automation tools.

Various Marketing platforms.

Various Professional services.

You agree that:

Each third party operates under its own terms and privacy policies.

Synergi Solutions is not responsible for outages, data breaches, or policy changes by these providers.


12.Confidentiality

Both parties agree to maintain confidentiality regarding all proprietary information, trade secrets, or customer data obtained during service delivery.


We will not disclose client information to third parties except where legally required or necessary for service operation.


13.Limitation of Liability

Synergi Solutions will not be liable for:

Indirect or consequential loss (e.g., revenue, contracts, or data).

Platform downtime, ad account restrictions, or third-party service failures.

Misuse of systems by the client or unauthorised users.

Our total liability for any claim shall not exceed the total amount paid for the service during the 3 months preceding the incident.

Nothing in these Terms excludes liability for fraud, death, or personal injury caused by our negligence.


14.Data Protection

We process personal data under the UK GDPR and Data Protection Act 2018.

All handling of client or user data is detailed in our Privacy Policy, which also includes information about cookies, analytics, and tracking preferences.

Clients must ensure they have the legal right to share any data uploaded or processed through our systems.


15.Termination

Either party may terminate service by giving 14 days’ notice before the next billing period.

We may terminate immediately if you:

Breach these Terms or any applicable law.

Engage in fraudulent, abusive, or misleading activity.

Fail to make payment within the agreed timeframe.

On termination, all outstanding invoices become due immediately.


16.Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, technical failures, or platform outages.


17.Ongoing Compliance Monitoring

We actively monitor Meta, WhatsApp, Google, and ICO regulatory changes to ensure all services and communications remain compliant.


If policy updates or platform rules affect service delivery, we will update our documentation and notify clients as appropriate.


18.Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales.


Any disputes will be subject to the exclusive jurisdiction of the English courts.
